These Terms of Service ("Terms") govern your access to and use of the Deepiix website, platform, and related services provided by Deepiix, Inc. ("Deepiix," "we," "us," or "our"). By accessing or using our services, you agree to be bound by these Terms.
By accessing deepiix.com or using any Deepiix service, you represent that you are at least 18 years old, have the legal capacity to enter into these Terms, and agree to be bound by them. If you are using our services on behalf of a company or organization, you represent that you have authority to bind that organization to these Terms.
Deepiix provides deep learning infrastructure services including intelligent GPU workload scheduling, CUDA kernel optimization, distributed training management, checkpoint and recovery systems, and unified monitoring for machine learning training workloads. Services are provided under separate service agreements negotiated directly with enterprise customers.
You agree to use our services only for lawful purposes and in accordance with these Terms. You agree not to:
All content on the Deepiix website, including text, graphics, logos, and software, is the property of Deepiix, Inc. and is protected by applicable intellectual property laws. The Deepiix platform and its underlying technology are proprietary. Accessing our services does not grant you any license to our intellectual property except as expressly provided in a service agreement.
You retain all intellectual property rights in the model code, training data, and model weights you develop using our infrastructure. We do not claim any ownership over your models or data.
In the course of evaluating or using our services, you may have access to proprietary technical information, pricing, roadmap details, or other non-public information. You agree to maintain the confidentiality of such information and not to disclose it to third parties without our prior written consent.
You are responsible for the security and legality of all data and model weights stored or processed using Deepiix infrastructure. You represent that you have all necessary rights and permissions to process any data you submit to our platform. We implement security controls consistent with industry standards, but cannot guarantee absolute security of your data.
THE DEEPIIX WEBSITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DEEPIIX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE OUR SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS SHALL NOT EXCEED THE GREATER OF $100 OR THE AMOUNTS PAID BY YOU TO DEEPIIX IN THE THREE MONTHS PRECEDING THE CLAIM.
You agree to indemnify, defend, and hold harmless Deepiix, Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with your use of our services, your violation of these Terms, or your infringement of any third-party rights.
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the state or federal courts located in San Francisco, California, and you consent to the personal jurisdiction of such courts.
We reserve the right to modify these Terms at any time. We will provide notice of material changes by updating the "Last Updated" date. Your continued use of our services after any changes constitutes your acceptance of the revised Terms.
Your use of Deepiix services must comply with all applicable laws and regulations. The following activities are expressly prohibited on the Deepiix platform:
Violation of this Acceptable Use Policy may result in immediate suspension of access and potential legal liability.
Deepiix makes reasonable efforts to maintain platform availability and performance consistent with the specifications in applicable service agreements. We do not guarantee uninterrupted access to our services. Scheduled maintenance windows will be communicated in advance where practicable. We reserve the right to take the platform offline for emergency maintenance without prior notice when necessary to protect system integrity or user security.
Performance metrics, uptime commitments, and remedies for service failures are specified in separate enterprise service agreements and are not governed by these general Terms of Service.
You represent that you are not located in, under the control of, or a national or resident of any country subject to a U.S. Government embargo, and that you are not on the U.S. Treasury Department's list of Specially Designated Nationals or the U.S. Department of Commerce's Denied Person's List. You agree to comply with all applicable export and import laws and regulations in connection with your use of our services.
Our infrastructure technology and certain kernel optimization software may be subject to U.S. Export Administration Regulations. You are responsible for ensuring that your use of our services complies with applicable export control requirements.
Deepiix shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, cyberattacks on critical infrastructure, governmental actions, telecommunications failures, power outages, or failures of third-party service providers such as cloud infrastructure providers. In such events, we will notify affected users as soon as practicable and resume normal service operations as quickly as possible.
These Terms, together with our Privacy Policy, Cookie Policy, and any applicable enterprise service agreement, constitute the entire agreement between you and Deepiix regarding your use of our services, and supersede all prior agreements and understandings, whether written or oral, relating to such subject matter. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of Deepiix.
If you provide us with feedback, suggestions, or ideas regarding our services ("Feedback"), you grant Deepiix an irrevocable, perpetual, worldwide, royalty-free license to use, implement, and incorporate such Feedback into our products and services without any obligation of compensation, attribution, or confidentiality. This does not affect your ownership of any intellectual property you create using our infrastructure.
We may offer beta or early access features or services that are not yet generally available. Such features are provided on an "as-is" basis without warranties and may be modified, suspended, or discontinued at any time without notice. By using beta features, you acknowledge they may contain bugs, be less stable than production features, and that your Feedback on beta features may be incorporated into future versions without compensation.
You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. We may assign these Terms or our rights and obligations hereunder without restriction, including in connection with a merger, acquisition, restructuring, or sale of all or substantially all of our assets. Any purported assignment in violation of this section is null and void. These Terms will bind and inure to the benefit of each party's permitted successors and assigns.
